The Board of Assicurazioni Generali S.p.A. has resolved on 25 and 26 June 2024 to increase its share capital on a free-cost basis pursuant to Articles 2443 and 2349 of the Italian Civil Code up to a nominal amount of € 273,886.36, with the issuance of 268,193 ordinary shares with no par value, with normal dividend rights (coupon n° 35), to be allocated to the Managing Director/Group CEO according to the provisions of the special stock plan for the Managing Director/Group CEO adopted by the Shareholders Meeting on 30 April 2020 (Plan), though the capitalization of a corresponding maximum amount from the Other Reserves.

The Supervisory Authority later issued the authorization falling within its competence on 18-7-2024. Consequently, on 19-7-2024 the capital increase by € 273,886.36 was implemented with the issuance of 268,193 ordinary shares with no par value.
