Modification of the Share capital

Trieste - We hereby inform that the share capital of Assicurazioni Generali S.p.A., fully subscribed and paid up, amounts now to € 1,602,462,715.77 due to the completion of the share capital increase, in execution of the Long Term Incentive Plan 2019-2021 adopted by the Shareholders’ Meeting of the Company on 7^th May 2019 and of the Long Term Incentive Plan 2021-2023 adopted by the Shareholders’ Meeting of the Company on 29^th April 2021, and as resolved by the Board of Directors in its meeting of 11^th March 2024.

The inscription of the document certifying such increase has been formally lodged on 12^th April 2024 with the Venezia Giulia Company’s Register.

Therefore, as illustrated in the following table, the above-mentioned capital is subdivided into 1,569,151,811 ordinary shares with no explicit par value.
